Plain terms. These terms cover the CoverOps product on every plan. When they change, we will give you notice before the change takes effect.

1. Who this agreement is between

These terms are between Coverops Private Limited (“CoverOps”, “we”) and the organisation using the service (“you”). By creating an account, connecting a cloud account, or otherwise using the service, you accept these terms on behalf of your organisation and confirm you are authorised to do so.

2. What we provide

CoverOps reads the cloud accounts you connect, finds the resources that cost money without doing work (idle, oversized, unattached, or stopped but still billing), prices each one per month, and tells you how to fix it. We provide that as a free scan, a one-off audit reviewed by an engineer, and monthly plans and add-ons, as described on the pricing page.

If, and only if, you give an account read-and-act access, CoverOps can also apply a fix after a named person in your team approves it in the console. Every approval re-checks the resource first, and every applied change keeps a way to roll it back. Nothing in your cloud is changed without that approval.

We do not host your workloads. Your resources stay in your own cloud account, under your billing relationship with your cloud provider.

3. Access to your cloud account

You grant CoverOps access by creating a role or credentials in your cloud account, read-only by default. You may narrow or revoke that access at any time without notifying us. You are responsible for the scope you grant.

We will use that access only to operate the service as described in the security overview. We will not use it to access your application data.

4. Your responsibilities

  • Deciding which fixes to approve, and checking the ones we mark for checking first
  • Your cloud provider costs, including costs arising from changes you approve or make
  • Keeping your CoverOps sign-in and your cloud credentials secure
  • Ensuring your use of the service complies with laws that apply to you
  • Telling us about resources that look idle but are not, so we stop counting them

CoverOps recommends; your team decides. Because every change passes through a person on your side, you remain responsible for what runs in your account.

5. What we commit to

  • Operating the service with reasonable skill and care
  • Never changing anything in your cloud that a person on your team has not approved
  • Delivering a paid audit within the working days stated on the pricing page
  • Telling you promptly if we become aware of a security incident affecting you
  • Not selling or sharing your data (see the privacy policy)

We do not currently offer a service-level agreement. The service is provided without an uptime commitment, and we say so here rather than burying it.

6. Ownership

You own your data, your cloud accounts and the infrastructure in them, and the audit reports and fix commands we give you. They are yours to keep and use after you stop being a customer, and you can download your data from the console at any time.

We own the CoverOps software and our brand. Nothing in these terms transfers that to you.

7. Fees

Prices are those published on the pricing page on the day you buy, in rupees, plus 18% GST, with a GST invoice for every charge. The audit is paid before it starts. Plans and add-ons are billed monthly, after the month, for the days they ran. Your cloud bill is paid by you to your provider; we never collect it, mark it up or take a share of your savings.

Refunds, the audit’s refund guarantee, the audit credit against a plan, and how to cancel are set out in the refund and cancellation policy, which forms part of these terms. We change prices only with notice, and a change never applies to a period you have already paid for.

8. Ending the agreement

You may stop using the service at any time: stop your plan from Billing in the console, revoke our access, or ask us to delete your organisation. We may end your subscription with reasonable notice, or immediately if the service is being used unlawfully or in a way that endangers other customers.

On termination we disable our access, and delete or anonymise the data we hold about your environment in line with the retention periods in the privacy policy. Your infrastructure is unaffected, because it never ran on us.

9. Liability

Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, and to the extent permitted by law, neither party is liable for indirect or consequential loss, and our total liability is capped at the fees paid under the agreement in the twelve months before the claim. Where no fees have been paid, the service is provided as-is.

The cap and its exclusions must be confirmed by counsel for the relevant jurisdiction before this clause is relied upon.

10. Changes to these terms

We may update these terms as the product changes. For material changes we will give notice by email to account holders before they take effect. The date at the top of this page always reflects the current version.

11. Governing law

The governing law and the forum for disputes are set out in the written agreement between us. If you need this confirmed before signing anything, ask us and we will tell you directly rather than making you infer it.

12. Contact

Questions about these terms go to office@coverops.dev, or through the contact form.
